Jim,
In doesn't really matter where you install the program. Just keep your data on the D:\ drive as you have it. It is when you do the migration, that you have to browse to the databases.
Just open up the V4 folder and right click on SQL Migration Utility. That should convert all of your databases in your REAL data folder and you should be all set.
