As alborg has pointed out,if you want to run the 4.0X version of AC on Windows 2000, the version of dot net should be the older 2.0 not the more recent 2.1. If anything newer is installed you have to uninstall it and then install AC.
Steven: You should also turn off all automatic updates as windows will by default update to the new version of these components
